Transaction Analysis
Forensic Accountants are often engaged to help analyze, organize and present the numbers and supporting documentation behind a transaction. They may be engaged by either the buyer or seller.
EZKR's approach begins with obtaining a thorough understanding of the subject company - how does it work, what risks does it and its industry face, and what areas are likely to be accounted for incorrectly and/or misrepresented? Our analysis is then geared toward investigating whether the financial records are consistent with our understanding, and whether they present the business in an accurate manner. EZKR's forensic professionals, all of whom are CPA's with additional credentials, comprise a variety of skill sets from multiple disciplines. We are able to craft an engagement team customized to the needs and requirements of the client, and to the particulars of the subject company.
Due Diligence
Forensic Accountants are engaged to provide investigative services in reviewing pending transactions or in gathering both financial and business documents as part of the acquisition process. These materials are typically provided to the buyer to support the claims and explanations of the seller and are usually done before closing but after a business deal has been outlined in a memorandum or letter of intent.
Mergers and Acquisitions
Forensic Accountants are often engaged to present "what if" scenarios in addition to due diligence services. These services included the calculation of combined operations and the presentation of prospective cost savings, economies of scale and redundant processes. Disciplines such as taxation and valuation are often added to the engagement team.
Sales & Divestitures
Forensic Accountants are engaged to provide sellers with a documentation package to expedite their transaction. This package typically provides the basis and primary source of documentation utilized by due diligence professionals on the other side.
